1. Acceptance of Terms
By creating an account or using New Folder (the “Service”), you agree to these Terms of Use and to our handling of your data as described here. If you do not agree, do not use the Service. You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service.
2. Description of the Service
New Folder is a personal space where you can save images, files, and notes (“Content”), which the Service automatically enriches and organizes using automated and AI-based processing, and helps you search and create from. The Service is provided on an evolving basis and features may change over time.
3. Your Content and Uploaded Files
You retain all ownership rights in the Content you upload. We do not claim ownership of your Content.
To operate the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, analyze, index, and create derived data (such as text extractions, descriptions, tags, and embeddings) from your Content, solely to provide and improve the Service for you. This license ends when you delete the Content or your account, except for backups retained for a limited period and data already processed.
You are solely responsible for your Content and confirm that you have the rights to upload it and that it does not infringe others’ rights or violate any law. Do not upload unlawful, infringing, or harmful material, or the personal data of others without a lawful basis.
4. Data and Privacy
We collect the account information you provide (such as your email address), the Content you upload, and basic usage and device data needed to run and secure the Service.
Your Content is processed by automated systems, including third-party AI and cloud providers, to deliver features such as enrichment, search, and the copilot. This means Content may be transmitted to and processed by those providers on our behalf, subject to their handling of it as our processors. We do not sell your Content.
We retain your data for as long as your account is active or as needed to provide the Service and meet legal obligations. You may request access to, or deletion of, your data as described in the Contact section.
5. Acceptable Use
You agree not to misuse the Service, including by attempting to breach security, access other users’ data, reverse engineer the Service, disrupt its operation, or use it to store or distribute unlawful, infringing, or abusive material. We may suspend or limit access to protect the Service and its users.
6. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Automated and AI-generated outputs may be inaccurate or incomplete; you are responsible for reviewing them before relying on them. We do not guarantee that the Service will be uninterrupted, secure, or error-free.
7. Limitation of Liability
To the maximum extent permitted by law, New Folder and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us, if any, in the twelve months before the claim.
8. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. On termination, your right to use the Service ends and we may delete your Content, subject to the retention described above.
9. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date and ask you to accept the updated Terms before you continue using the Service. Your continued use after acceptance constitutes agreement to the updated Terms.
10. Governing Law
These Terms are governed by the laws of the jurisdiction in which the Service operator is established, without regard to its conflict-of-laws rules. Courts located there will have exclusive jurisdiction over any dispute, except where applicable law provides otherwise.
